Welcome to VIXVVO Tools ("Company," "VIXVVO," "we," "us," or "our"). These Terms of Service ("Terms" or "Agreement") govern your relationship with VIXVVO and your use of our website(s), software, and related products and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not accept or agree with these Terms, you may not access or use our Services.

1. Acceptance of Terms

1.1 Binding Agreement

This Agreement is a legally binding contract. By accessing or using the Services, you acknowledge that you have read, understood, and agree to these Terms and all policies referenced herein.

1.2 Eligibility

You must be at least 13 years of age to use the Services. If you use the Services on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

1.3 Right to Amend

We may update or modify these Terms at any time by posting the revised Terms on our website. Your continued use of the Services after posting indicates your acceptance of the revised Terms. If you do not agree to the revised Terms, discontinue use of the Services immediately.

2. Services Overview

2.1 Purpose

VIXVVO Tools is designed to help users (e.g., sellers of 3D-printed products) estimate costs, price products, and identify potential profit margins. Our platform aggregates data (including user-inputted costs, material estimates, and information from third parties) to provide computational tools and business insights.

2.2 No Guarantee of Accuracy or Profit

IMPORTANT: The calculations and profit estimates provided by VIXVVO are based on user input and third-party data (e.g., market prices, material costs) and are only as accurate as the data provided. We do not guarantee the accuracy or completeness of these estimates, nor do we guarantee that following our suggestions will result in any particular financial outcome. You should always consult qualified professionals (e.g., accountants, attorneys) before relying on any financial or business-related information provided by us.

2.3 Educational & Informational Use Only

All products and Services of VIXVVO are provided "as is" for educational and informational purposes only, with no warranties of any kind. Use caution and conduct your own due diligence before making business decisions based on our data or information.

3. Account Registration & Access

3.1 Account Creation

To access certain features, you must register for an account by providing accurate, complete information. You are responsible for maintaining your account credentials and for all activities under your account.

3.2 Account Security

You must promptly notify us at support@vixvvo.com if you suspect unauthorized use of your account. VIXVVO will not be liable for any losses caused by unauthorized account use.

3.3 Suspension or Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any or no reason, including violation of these Terms.

4. Fees, Payments & Refunds

4.1 Subscription Plans

VIXVVO offers subscription plans and/or paid features, which are billed in advance (monthly, annually, or otherwise). All fees are due at the beginning of each billing cycle and automatically renew unless canceled.

4.2 Payment Methods

We accept payments through Stripe and Patreon. By subscribing, you authorize the applicable payment processor to charge your payment method. We do not store your full credit card information — all payment data is handled securely by these third-party processors.

4.3 Cancellation & Access

You may cancel your subscription at any time through your account Settings. Upon cancellation, you will retain access to your paid tier features until the end of your current billing period. After the billing period expires, your account will be downgraded to the Free tier and tier-restricted features will be limited accordingly.

4.4 Refund Policy

3-Day Refund: If you cancel a paid plan within three (3) days of purchase, we will refund your last payment in full. Beyond the three-day window, refunds are not guaranteed and may be granted at our discretion.

4.5 Changes & Upgrades

Upgrades: If you upgrade your plan, the new tier will take effect immediately. You will be charged a pro-rated fee for the remainder of your current billing cycle.
Downgrades: If you downgrade, the new rate and limits apply from your next billing cycle. Data exceeding the new tier's limits will be preserved but you will not be able to create new entries until you are within limits.

5. Affiliate Links Disclosure

Some links on the VIXVVO platform may lead to external websites (e.g., Amazon) for purchasing items such as 3D printing filament or tools. If you click on such an affiliate link and complete a purchase, VIXVVO may receive a commission. This does not affect the price you pay, and we only recommend products or services we believe may be useful. These external sites are governed by their own terms and policies.

6. Third-Party Integrations & Etsy API

6.1 Third-Party Platform Integrations

VIXVVO Tools allows you to connect third-party platforms (such as Etsy) to your account. When you connect a third-party platform, you authorise VIXVVO to access your data on that platform via its API in accordance with the permissions you grant during the connection process (e.g., OAuth). You remain bound by the terms of service and privacy policies of any third-party platform you connect.

6.2 Etsy Integration

Our Etsy integration uses the Etsy API (v3) to access your Etsy shop data, including but not limited to: shop information, order/receipt data, transaction details, listing information, buyer names, shipping addresses, and related metadata. This data is used solely to provide you with order management, cost calculation, and business insight features within VIXVVO Tools.

By connecting your Etsy account, you acknowledge and agree that:

• VIXVVO accesses your Etsy data through secure OAuth 2.0 authentication — your Etsy password is never shared with or stored by VIXVVO;
• Data retrieved from the Etsy API is stored in your private account in our database (Google Firebase) and is accessible only to you;
• You are responsible for any fees, taxes, or obligations related to your Etsy shop and transactions — VIXVVO is not a party to your Etsy transactions;
• VIXVVO processes Etsy Member personal information solely to provide the services you have authorised, and in accordance with our Privacy Policy and all applicable privacy laws;
• You may disconnect your Etsy account at any time from the Settings or Integrations page, which will stop all data syncing and remove stored API credentials;
• VIXVVO complies with Etsy's data caching policies — listing content is refreshed within six (6) hours and other Etsy content within twenty-four (24) hours of changes on the Etsy platform.

6.3 Etsy API Trademark Disclaimer

The term "Etsy" is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy, Inc.

All use of the Etsy API is subject to the Etsy API Terms of Use. Etsy retains all rights, title, and interest in the Etsy API and the Etsy platform. VIXVVO's integration with the Etsy API does not create any affiliation, endorsement, or partnership with Etsy, Inc.

6.4 Etsy Application Warranty Disclaimer

6.5 Data Handling & Disconnection

When you disconnect your Etsy account from VIXVVO:

• All stored Etsy API credentials (access tokens and refresh tokens) are immediately and permanently deleted;
• Automatic order syncing ceases immediately;
• Previously imported order data remains in your VIXVVO account for your business records, but no further Etsy API calls will be made on your behalf;
• You may manually delete any imported orders from your dashboard at any time.

6.6 Support for Etsy Integration

For any questions or issues related to the Etsy integration, please contact us at support@vixvvo.com. We provide ongoing support for Etsy sellers using our application and will respond to all inquiries in a reasonable and timely manner.

6.7 Limitations

VIXVVO does not:

• Replace or mimic Etsy's core functionalities or circumvent the Etsy checkout process;
• Divert sales or migrate Etsy Members from the Etsy platform;
• Store or transmit Etsy Member ID and password combinations;
• Use Etsy data for advertising, marketing to third parties, machine learning training, or content scraping;
• Share or transfer your Etsy data to any third party without your explicit consent;
• Send order, delivery, or tracking information to Etsy Members via email or text unless expressly authorised by Etsy.

7. Intellectual Property

7.1 VIXVVO IP

All content, trademarks, service marks, logos, and other intellectual property within the Services (excluding User Content) are owned by or licensed to VIXVVO. You agree not to reproduce, distribute, or create derivative works without our prior written permission.

7.2 User Content

Any data, text, images, or other materials you upload or submit remain your property. You grant VIXVVO a non-exclusive, worldwide, royalty-free license to use, store, reproduce, modify, and distribute your content solely for the operation and improvement of the Services.

7.3 Prohibited Use

You shall not use VIXVVO's content or Services for any unlawful purpose or in violation of any third party's rights (including intellectual property rights).

8. Disclaimers

8.1 No Warranty—As Is

The services are provided "as is" and "as available," without warranty of any kind, either express or implied. VIXVVO disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

8.2 No Financial Guarantees

VIXVVO does not guarantee that the estimates or calculations provided will yield any specific financial results. Real-world business outcomes can vary significantly, and you acknowledge there is a risk of loss. Only risk capital should be used, and you accept full responsibility for any decisions and results of using our Services.

8.3 Professional Advice

The Services are not a substitute for professional financial, legal, or business advice. You should consult with qualified professionals before making significant business or financial decisions.

9. Limitation of Liability

To the fullest extent permitted by law, VIXVVO and its affiliates, officers, directors, employees, or agents shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for lost profits, goodwill, or data, resulting from:

• Use or inability to use the Services;
• Any action taken based on information obtained through the Services;
• Unauthorized access to or alteration of your data;
• Any other matter relating to the Services.

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, liability is limited to the minimum extent required by law. In no event will VIXVVO's total liability exceed the amount you paid to VIXVVO in the six (6) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless VIXVVO, its affiliates, officers, directors, employees, and agents from and against all claims, suits, losses, liabilities, damages, costs, and expenses (including attorneys' fees) arising out of or related to:

• Your use or misuse of the Services;
• Your breach of these Terms;
• Any content you post or upload;
• Your violation of any law or the rights of a third party.

11. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and share your personal information. By using the Services, you agree to our Privacy Policy, incorporated herein by reference.

12. Governing Law & Dispute Resolution

12.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by the laws of the State of Wisconsin, without regard to conflict-of-law provisions.

12.2 Forum Selection

All disputes, claims, or proceedings between you and VIXVVO will be resolved by a court of competent jurisdiction located in Waukesha, Wisconsin. You consent to the personal jurisdiction of these courts.

13. Termination

13.1 Termination by VIXVVO

We may suspend or terminate your access to the Services at any time, for any reason, without notice or liability.

13.2 Termination by You

You may cancel your account or subscription at any time by contacting us at support@vixvvo.com. Any paid fees prior to termination are non-refundable (subject to any applicable refund provisions in Section 4.4).

13.3 Survival

All provisions that by their nature should survive termination (e.g., disclaimers, limitation of liability, indemnity, intellectual property rights) shall survive.

14. Your Data

14.1 Data Ownership

All business data you enter into VIXVVO (orders, clients, models, invoices, etc.) remains your property. We store and process this data solely to provide the Services to you.

14.2 Data Export

You may export your data at any time from the Settings page in your dashboard. We provide export functionality to ensure you always have access to your own data.

14.3 Account Deletion

You may request deletion of your account and all associated data by contacting support@vixvvo.com. Upon deletion, all personal information, uploaded files, and business data will be permanently removed within 30 days, except where retention is required by law.

14.4 Tier Limits

Each subscription tier has defined limits on the number of resources (orders, clients, models, etc.) you can create. These limits are enforced automatically. Exceeding tier limits requires upgrading to a higher tier. Current tier limits are displayed on the Pricing page and in your account Settings.

15. Miscellaneous

15.1 Entire Agreement

These Terms (including all policies referenced) constitute the entire agreement between you and VIXVVO regarding your use of the Services and supersede any prior agreements.

15.2 Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions remain in full force and effect.

15.3 No Waiver

Failure to enforce any right or provision in these Terms is not a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without prior written consent from VIXVVO. We may assign our rights and obligations at any time.

15.5 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

15.6 Notices

We may provide you with notices electronically (e.g., email, website postings). You consent to receive such electronic notices.
